By registering for an Account, Customer represents and warrants that Customer is registering in the exercise of a professional trade, business enterprise, or legal entity. Consumers (individuals seeking services for personal, household, or domestic purposes) are strictly prohibited from subscribing to or using the Services.
2.2. Age Requirements. Authorized Users, Hosts, Creators, and Moderators must be at least eighteen (18) years of age or the legal age of majority in their jurisdiction. Registrants between the ages of thirteen (13) and seventeen (17) may view webinars hosted through the Services only under the direct supervision and authorization of a parent, legal guardian, or educational institution. Children under thirteen (13) years of age are strictly prohibited from registering for or accessing the Services.
2.3. Account Registration & Truthfulness. Customer agrees to provide true, accurate, current, and complete information during the registration process and to maintain the accuracy of such information at all times. Failure to maintain accurate billing and contact details constitutes a material breach resulting in immediate account suspension.
2.4. Credential Protection & Responsibility. Login credentials (usernames, passwords, API keys, and single-sign-on tokens) are strictly personal to the assigned Authorized User and may not be shared, pooled, or transferred among multiple individuals inside or outside Customer’s organization. Customer assumes sole legal and financial responsibility for all actions, transmissions, charges, and content uploads conducted through Customer’s Workspace credentials, whether authorized by Customer or not.
2.5. Mandatory Security Breach Notification. Customer agrees to notify WebinarGent’s security team immediately at abuse@webinargent.com upon discovering or suspecting any unauthorized access to Customer’s Account, stolen credentials, or security breach involving the Workspace. WebinarGent shall not be liable for any loss, damage, or unauthorized charges resulting from Customer’s failure to safeguard its login credentials.
Section 3: Grant of license, workspace limits & anti-cloning restrictions
3.1. Limited Subscription License. Subject to Customer’s continuous compliance with this Agreement, timely payment of all applicable Fees, and compliance with the Acceptable Use Policy (AUP), WebinarGent grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right and license to access and use the Services during the active Subscription Term strictly for Customer’s internal business operations.
3.2. Seat and Attendee Caps. Customer’s right to use the Services is strictly bound by the specific usage parameters, seat counts, concurrent streaming limits, email broadcast caps, and attendee thresholds specified in Customer’s active Subscription Plan or Order Form.
3.3. Anti-Cloning & IP Protection
Customer expressly acknowledges that the platform source code, visual UI layouts, database architectures, video processing algorithms, AI prompt structures, and workflow configurations constitute valuable proprietary trade secrets of Lazostar LLC. Customer agrees that Customer shall not, directly or indirectly:
- Modify, translate, copy, clone, emulate, adapt, or create derivative works based on the Services or any portion thereof;
- Reverse engineer, decompile, disassemble, decode, or attempt to derive the source code, underlying logic, or trade secrets of the platform;
- Rent, lease, lend, sell, resell, sublicense, distribute, time-share, or operate a commercial service bureau using the Services (except as expressly authorized under an Agency Subscription Plan);
- Use automated crawlers, scrapers, bots, or data extraction scripts to mine data, UI components, presentation designs, or platform telemetry;
- Access or benchmark the Services to build, train, market, or improve a competing software application, SaaS platform, AI model, or webinar hosting engine;
- Frame, mirror, or embed any portion of the Services within a third-party application or website without express written authorization from Lazostar LLC; or
- Remove, obscure, or alter any copyright, trademark, trade name, or proprietary rights notices embedded within the Services.
Section 4: Agency Hub, workspace switcher & sub-account management
4.1. Agency Workspace Authorization. Customer accounts enrolled under an Agency Subscription Plan (“Agency Hosts”) are authorized to provision, manage, and assign sub-accounts, client portals, and secondary Workspaces to third-party clients (“Agency Clients”).
4.2. Joint and Several Liability. Agency Host assumes 100% joint and several legal and financial responsibility for all actions, content uploads, data processing activities, AUP violations, and billing obligations incurred by its Agency Clients, Creators, and Moderators. Any material breach of this Agreement or the AUP committed by an Agency Client shall be deemed a direct breach committed by the Agency Host.
4.3. Workspace Switcher Integrity. Agency Hosts and Authorized Users managing multiple Workspaces via the Workspace Switcher shall maintain strict credential separation. Sharing sub-account administrative credentials across unauthorized third parties is strictly prohibited.
4.4. Client Dispute Non-Involvement. Lazostar LLC or WebinarGent is not a party to any contract, agreement, or dispute between an Agency Host and its Agency Clients. In the event of a contract termination, ownership dispute, or non-payment between an Agency Host and an Agency Client, WebinarGent shall act strictly upon the instructions of the primary Agency Host billed for the account. WebinarGent assumes zero liability for restricting or disabling an Agency Client’s access upon the Agency Host’s direction.
Section 5: AI Studio, autonomous AI Closers & human oversight disclaimers
5.1. AI Studio Capabilities. The Services incorporate artificial intelligence features, automated content generators, natural language processors, and autonomous AI Closers capable of generating webinar outlines, drafting presentation scripts, managing real-time or asynchronous chat rooms, triggering call-to-action banners, and automating attendee responses.
5.2. Mandatory Human Confirmation Gate. Customer acknowledges and agrees that AI models may occasionally generate inaccurate, incomplete, misleading, or unexpected outputs (“hallucinations”). Customer is contractually required to establish human confirmation workflows and audit all AI-generated scripts, pricing offers, legal disclaimers, and automated chat responses prior to deploying them in live or automated webinars.
5.3. Absolute Liability Shield for AI Agent Actions. AI Agents operate strictly under the prompt parameters, permissions, and guardrails configured by Customer. Lazostar LLC and WebinarGent expressly disclaim all legal and financial liability for any decisions made, statements issued, unauthorized discounts promised, misrepresentations delivered, or damages arising from autonomous AI Agent actions during or after a webinar, whether taken with or without real-time human supervision.
5.4. Prohibited AI Impersonation. Customer agrees that AI Closers and automated moderators shall not be configured to falsely claim to be a living human being in jurisdictions where automated bot disclosures are mandated by law.
Section 6: Checkout links, sales offers & financial transaction disclaimers
6.1. Host Duty to Test Gateway Integrations. The Services permit Hosts to present call-to-action banners, pop-up offers, and third-party payment checkout links (e.g., Stripe, PayPal, custom URLs) during webinars. Host bears sole legal, operational, and financial responsibility for testing and verifying that all checkout links, currency display settings, redirect protocols, and payment gateway integrations function correctly prior to launching a campaign.
6.2. Independent Merchant Status. Lazostar LLC is not a party to, warrantor of, or intermediary in any financial transaction, purchase, or contract entered into between Host and a Registrant. Host operates as an entirely independent merchant.
6.3. Complete Revenue & Transaction Shield. Lazostar LLC expressly disclaims all liability for failed checkout links, broken redirects, payment gateway outages, pricing errors, fraudulent Registrant transactions, refund disputes, or lost sales revenue incurred before, during, or following a webinar.
Section 7: Subscription tiers, overage rates & billing mechanics
7.1. Prepaid Subscription Structure. All Subscription Plans (monthly, annual, or multi-year terms) are billed on a prepaid recurring basis. Customer authorizes Lazostar LLC (DBA WebinarGent) to automatically charge Customer’s designated payment method on file at the start of each billing cycle for the recurring subscription fee, selected plan add-ons, and accrued usage overages.
7.2. Plan Limits & Hard Metric Boundaries. Each Subscription Plan specifies hard operational limits, including maximum live concurrent attendees, automated monthly registrants, video storage volume, active webinar funnels, and email broadcast allowances. Exceeding plan parameters without purchasing pre-approved add-ons will trigger automatic usage overage charges.
7.3. Attendee & Streaming Overage Schedule
If Customer exceeds the live attendee or automated registrant limits included in Customer’s active Subscription Plan, Customer agrees to pay the following standard unit overage rates:
- Automated / Evergreen Registrant Overages: an extra amount will be charged per additional registrant exceeding the plan allocation;
- Live Broadcast Attendee Overages: an extra amount will be charged per additional live attendee exceeding the plan allocation;
- Video Bandwidth Overages: Billed at standard cloud network rates if streaming volume exceeds 2x the average benchmark of Customer's subscription tier.
7.4. Tax Responsibility. All listed Fees are exclusive of applicable federal, state, local, value-added (VAT), goods and services (GST), or sales taxes. Customer assumes full financial responsibility for paying all applicable taxes associated with Customer’s subscription, excluding taxes based on Lazostar LLC’s net income.
Section 8: Free trials, promotional rates & anti-abuse provisions
8.1. Trial Qualification. WebinarGent may offer discounted or free trial periods (“Trial Period”) to new prospective Customers for evaluation purposes. Qualification for a Trial Period is determined solely by Lazostar LLC.
8.2. Single Trial Limit & Anti-Abuse Enforcement. Trial Periods are strictly limited to one (1) trial per natural person, corporate entity, credit card profile, or domain identifier. Creating multiple trial accounts using pseudonyms, altered email aliases, virtual credit cards, dynamic IP addresses, or dynamic domains is strictly prohibited.
8.3. Automatic Conversion & Retroactive Billing. Unless Customer cancels the subscription via the Workspace administrative portal prior to the expiration of the Trial Period, the trial will automatically convert into a paid recurring plan, and Customer’s payment card will be charged the full standard subscription rate. Any account identified as a duplicate, abusive, or secondary trial shall be immediately terminated, blacklisted, and subject to retroactive full-price billing for all platform resources consumed.
Section 9: Mid-cycle upgrades, downgrades & non-refundable prorations
9.1. Mid-Cycle Subscription Upgrades
Customer may upgrade subscription tiers or purchase account add-ons at any time through the administrative Workspace. Upon executing a mid-cycle upgrade:
- The upgrade takes effect immediately, granting instant access to elevated tier features;
- The billing cycle immediately resets to the date of the upgrade transaction;
- The unused, prepaid portion of the previous plan is calculated as a non-refundable pro-rata credit applied toward the upgraded plan charge.
9.2. Subscription Downgrades. Customer may request a subscription downgrade through the Workspace portal. Downgrades take effect strictly at the start of the next recurring billing cycle. WebinarGent does not issue cash refunds, partial credits, or pro-rata adjustments for plan downgrades executed mid-cycle.
9.3. Loss of Features & Data Restrictions Upon Downgrade. Customer acknowledges that downgrading a plan may result in the immediate loss of advanced features, decreased attendee caps, removal of Agency sub-accounts, or archival restriction of historical webinar analytics. Lazostar LLC disclaims all liability for content loss or reduced functionality resulting from Customer-initiated plan downgrades.
Section 10: Cancellations, renewal windows & refund policies
10.1. Automatic Renewal. Unless explicitly cancelled in accordance with this Section, Customer’s subscription will automatically renew for successive periods equal to the initial Subscription Term (e.g., month-to-month or year-to-year) at the standard non-promotional renewal rate.
10.2. Cancellation Notification Window
To avoid being charged for the subsequent billing cycle, Customer must submit an official cancellation request via the Workspace self-service administrative portal or via written email to refund@webinargent.com:
- Monthly Plans: At least ten (10) calendar days prior to the next scheduled renewal date;
- Annual Plans: At least thirty (30) calendar days prior to the annual renewal date.
10.3. Strict No-Refund Policy. All subscription fees, overage charges, add-on purchases, and renewal payments are strictly non-refundable. Lazostar LLC provides a full feature environment and trial options prior to paid conversion; consequently, no cash refunds, partial credits, or prorated adjustments shall be granted for unused subscription time, early cancellations, or unhosted webinars.
Section 11: Payment failures, 10-day recovery protocol & chargeback fees
11.1. Payment Default & Dunning Protocol
If Customer’s designated payment card is declined or payment fails, WebinarGent will initiate an automated ten (10) calendar day recovery protocol:
- Day 1–3: Automated retry notifications sent to Customer’s administrative email address;
- Day 5: Account access downgraded to read-only status; live broadcasts suspended;
- Day 10: Workspace fully suspended, API endpoints severed, and active funnels disabled.
11.2. Account Termination & Permanent Data Purge. If delinquent fees remain unpaid thirty (30) calendar days after initial failure, Lazostar LLC reserves the right to permanently terminate the Workspace and purge all stored Customer Content and Registrant Data without liability.
11.3. Chargeback Penalty ($50 Processing Fee + $35 Collections Fee)
Customer agrees to contact refund@webinargent.com to resolve any billing dispute prior to filing a bank chargeback. If Customer files an improper or unauthorized chargeback:
- Customer shall be assessed an immediate $50.00 USD administrative processing fee per disputed transaction;
- Customer’s Workspace shall be immediately suspended or terminated;
- Unpaid balances turned over to third-party recovery agencies shall incur an additional $35.00 USD collections fee plus interest at 1.5% per month (or the maximum statutory rate).
Section 12: Registrant data, dual controller/processor roles & EU withdrawal waiver
12.1. Dual Data Roles. Under applicable Data Protection Laws (GDPR, CCPA/CPRA, UK GDPR), Customer acts as the Data Controller for all Registrant Data collected via registration pages, polls, surveys, and webinar chats. Lazostar LLC operates strictly as a Data Processor processing Registrant Data on Customer’s behalf under the terms of our Data Processing Addendum (DPA).
12.2. Host Consent & Privacy Obligations. Customer represents and warrants that Customer has provided all legally required privacy notices and obtained all necessary explicit opt-in consents from Registrants prior to processing their data, sending promotional emails, or triggering SMS sequences through the platform.
12.3. Registrant Privacy Shield. Registrants view webinars organized by Hosts. Registrants acknowledge that Lazostar LLC is not responsible for Host’s independent marketing practices and agree to submit all data access, correction, or deletion requests directly to the applicable Host.
12.4. EU/UK Statutory Withdrawal Waiver. European Union and United Kingdom business buyers explicitly agree that because WebinarGent provisions immediate digital software access upon purchase, Customer expressly waives any statutory 14-day right of withdrawal or cool-off period under EU Directive 2011/83/EU or equivalent UK consumer regulations.
Section 13: Acceptable use, content ownership & takedown procedures
13.1. Customer Content Ownership. Customer retains full legal ownership and intellectual property rights in all Customer Content uploaded, broadcast, or stored within the Workspace. Customer grants Lazostar LLC a worldwide, royalty-free, non-exclusive license to host, store, stream, transmit, and display Customer Content solely as necessary to operate and deliver the Services.
13.2. Acceptable Use Policy (AUP) Incorporation. Customer agrees to strictly comply with the WebinarGent Acceptable Use Policy (AUP). Prohibited activities include hosting illegal content, fraud, unauthorized adult content, hate speech, malicious code, and deliverability abuse.
13.3. Notice and Takedown Procedure. Lazostar LLC respects intellectual property rights and handles notices of alleged copyright or trademark infringement in accordance with the Digital Millennium Copyright Act (DMCA). Written notices of infringement must be submitted directly to our designated agent at abuse@webinargent.com.
13.4. Right to Block or Remove Content. Lazostar LLC reserves the right, in its sole discretion and without prior notice, to immediately remove Customer Content or suspend any Workspace that violates applicable laws, infringes third-party rights, or poses a security threat to platform infrastructure.
Section 14: Service level commitments, maintenance & uptime disclaimers
14.1. Uptime Target. WebinarGent uses commercially reasonable efforts to maintain a platform availability and service uptime target of ninety-nine and nine-tenths percent (99.9%) during each calendar month, excluding scheduled maintenance windows and Force Majeure Events.
14.2. Scheduled Maintenance. Lazostar LLC reserves the right to perform routine system maintenance, hardware updates, and software deployments. We will endeavor to schedule maintenance during off-peak usage hours and provide advance notice via system dashboard announcements or email for any maintenance expected to cause temporary service disruption, except during exceptional circumstances or during any emergency.
14.3. Exclusions from Uptime Calculations
Downtime, service degradation, or streaming latency shall not count toward uptime SLA calculations if caused by:
- Factors outside Lazostar LLC’s reasonable control, including regional internet service provider (ISP) outages, public cloud infrastructure disruptions (AWS/GCP), or domain name system (DNS) routing failures;
- Customer’s or Registrant’s local hardware, browser incompatibilities, insufficient network bandwidth, or misconfigured local firewalls;
- Third-party payment gateway outages or external API integration failures (e.g., Stripe, PayPal, Zapier);
- Emergency security deployments required to protect platform integrity against active denial-of-service (DDoS) attacks or zero-day vulnerabilities.
14.4. Service Credits (Enterprise Plans Only). Service credits for SLA failures are available exclusively to enterprise subscribers with an executed Enterprise Order Form that explicitly includes SLA remedies. Standard monthly and annual subscription plans are provided on an “as-is” basis without service credit guarantees.
Section 15: Proprietary rights, feedback & trademark usage
15.1. Lazostar LLC Ownership. Customer acknowledges that Lazostar LLC and its licensors retain all right, title, and interest, including all patent, copyright, trade secret, trademark, and other intellectual property rights, in and to the Services, AI Studio engines, software code, UI designs, system documentation, and Service-Generated Data.
15.2. Customer Feedback. If Customer or Authorized Users provide suggestions, ideas, feature requests, or feedback regarding the platform (“Feedback”), Customer hereby grants Lazostar LLC an exclusive, royalty-free, fully paid-up, perpetual, irrevocable, worldwide, sublicensable license to use, incorporate, modify, and commercialize such Feedback for any purpose without restriction, compensation, or attribution to Customer.
15.3. Limited Logo & Reference License. Customer grants Lazostar LLC a limited, non-exclusive, royalty-free, worldwide license to display Customer’s corporate name and logo on WebinarGent’s public website, customer lists, and marketing materials solely to identify Customer as a user of the platform. Customer may revoke this license at any time by submitting a written opt-out request to sales@webinargent.com, upon which Lazostar LLC will use commercially reasonable efforts to remove Customer’s logo from public marketing properties within thirty (30) calendar days.
Section 16: Warranties disclaimer (“as-is” provision)
16.1. Express “As-Is” Disclaimer. To the maximum extent permitted by applicable law, the Services, AI Studio engines, automated sales funnels, Webinar CRM, APIs, documentation, and all associated content are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind.
16.2. No Implied Warranties. Lazostar LLC expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.
16.3. No Guarantee of Business Results. Lazostar LLC does not warrant that the Services will meet Customer’s requirements, that platform operation will be uninterrupted or error-free, that data transmissions will be completely secure, or that the use of the Services or AI Studio will generate any specific financial outcomes, webinar attendance numbers, lead generation metrics, or sales revenue.
Section 17: Limitation of liability & absolute monetary caps
17.1. Exclusion of Indirect Damages. To the fullest extent permitted by applicable law, in no event shall WebinarGent, its parent entity, affiliates, officers, directors, employees, agents, suppliers, or licensors be liable to Customer, Authorized Users, Registrants, or any third party for any indirect, consequential, incidental, special, punitive, or exemplary damages whatsoever, including but not limited to damages for lost profits, lost revenue, lost sales, lost data, goodwill impairment, business interruption, work stoppage, or computer malfunction, arising out of or relating to the use of or inability to use the Services, even if advised of the possibility of such damages.
17.2. Cumulative Monetary Liability Cap
Lazostar LLC’s total aggregate and cumulative liability arising out of or relating to this Agreement, under any and all legal theories (whether in contract, tort, negligence, strict liability, indemnity, or otherwise), shall be strictly capped at and shall not exceed the lesser of:
- The total amount actually paid by Customer to Lazostar LLC for the Services in the thirty (30) day period immediately preceding the event giving rise to the claim; or
- One hundred dollars ($100.00 USD) for trial users, free accounts, or API integrators.
17.3. Independent Allocation of Risk. Each provision of this Agreement that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages represents a reasonable allocation of risk between the Parties and constitutes an essential element of the bargain.
Section 18: Indemnification & defense obligations
18.1. Customer Indemnification Obligation
Customer agrees to defend, indemnify, and hold harmless Lazostar LLC, its parent entity, subsidiaries, affiliates, officers, directors, employees, contractors, and agents from and against any and all third-party claims, demands, suits, regulatory inquiries, liabilities, losses, settlement payments, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Customer’s, Authorized Users’, or Agency Clients’ breach of this Agreement, the AUP, Anti-Spam Policy, or applicable laws;
- Customer Content or Registrant Data uploaded, transmitted, or broadcast through the Services;
- Deceptive sales offers, pricing misrepresentations, earnings claims, or failed payment gateway links presented during webinars;
- Violations of privacy rights, GDPR/CCPA regulations, telephone consumer protection laws (TCPA), or CAN-SPAM laws by Customer; or
- Actions, script generations, or automated offers executed by AI Agents operating under Customer’s Workspace permissions.
18.2. Indemnification Procedures. Lazostar LLC will give Customer prompt written notice of any indemnified claim, grant Customer primary control over the defense and settlement of the claim (provided that Customer shall not settle any claim that imposes financial liability or admits wrongdoing by Lazostar LLC without our prior written consent), and provide reasonable cooperation at Customer’s expense.
Section 19: Employee anti-solicitation & liquidated damages
19.1. Non-Solicitation Covenant. During the active Subscription Term and for a period of twelve (12) months following account termination, Customer agrees that Customer shall not, directly or indirectly, solicit, recruit, induce, or attempt to hire any software engineer, developer, systems architect, executive, or key employee of Lazostar LLC with whom Customer had contact during the performance of this Agreement.
19.2. Liquidated Damages Calculation. If Customer breaches Section 19.1, Customer acknowledges that actual damages would be difficult to calculate. Consequently, Customer agrees to pay Lazostar LLC as liquidated damages (and not as a penalty) an amount equal to one hundred percent (100%) of the solicited employee’s final annual base salary, which the Parties agree is a reasonable pre-estimate of recruitment costs and operational loss.
Section 20: Dispute resolution: pre-arbitration, binding arbitration & mass-claim batching
20.1. Mandatory Informal Dispute Resolution. Prior to initiating arbitration or legal proceedings, Customer and Lazostar LLC agree to make a good-faith effort to resolve any dispute informally. The claiming party must send a written Notice of Dispute detailing the legal basis and specific facts of the claim to compliance@webinargent.com. The Parties shall engage in good-faith negotiations for a period of thirty (30) calendar days from receipt of notice before either Party may commence arbitration.
20.2. Binding Individual Arbitration. Any unresolved dispute, controversy, or claim arising out of or relating to this Agreement, its enforcement, or its breach shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the English language in Delaware, USA (or via virtual video proceedings upon mutual agreement).
20.3. Class Action Waiver. All claims must be arbitrated or litigated on an individual basis. Customer expressly waives all rights to initiate, join, or participate as a plaintiff or class member in any class action, consolidated action, representative proceeding, or private attorney general action against Lazostar LLC.
20.4. Mass-Arbitration Batching Protocol (25+ Coordinated Claims)
To ensure efficient administrative resolution if twenty-five (25) or more similar arbitration demands are asserted against Lazostar LLC by the same law firm or coordinated group of claimants, the Parties agree that arbitrations shall proceed in randomized batches of ten (10) cases at a time:
- AAA shall administer each batch of 10 cases under a single consolidated administrative filing fee;
- Only 10 cases shall be arbitrated at one time, and no other arbitration demands within the mass filing may proceed until the prior batch is resolved or settled;
- The results and awards of each batch shall be used in good-faith mediation to facilitate global settlement before subsequent batches are formally filed.
Section 21: International compliance, export controls & sanctions
21.1. Export Controls Compliance. The Services, underlying software, encryption algorithms, and technical data are subject to United States export control laws and international trade sanctions implemented by the US Department of Commerce (BIS) and the US Department of the Treasury Office of Foreign Assets Control (OFAC).
21.2. Prohibited Jurisdictions & Restricted Persons
Customer represents and warrants that Customer, Authorized Users, and Agency Clients:
- Are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive US embargoes or sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine);
- Are not listed on any US Government restricted parties list, including OFAC’s Specially Designated Nationals (SDN) List or the BIS Denied Persons List; and
- Will not access or use the Services to broadcast or export technical content to any sanctioned destination or entity.
Section 22: General provisions
22.1. Governing Law & Venue. This Agreement and all claims or disputes arising hereunder shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, USA, without giving effect to conflict of laws principles.
22.2. Entire Agreement. This Master Terms of Service, together with all Order Forms, the Data Processing Addendum (DPA), Privacy Policy, Cookie Notice, Acceptable Use Policy (AUP), Anti-Spam Policy, AI Safety Policy, Affiliate Terms, and Accessibility Statement, constitutes the complete and exclusive legal agreement between Customer and Lazostar LLC regarding the Services, superseding all prior oral or written agreements, proposals, or communications.
22.3. Unilateral Modifications to Terms. Lazostar LLC reserves the right to modify or update this Agreement at any time. Material amendments will be communicated by posting the updated version on our website, updating the “Last Updated” date, or delivering written notification via email or Workspace banner. Customer’s continued use of the Services following the effective date of an update constitutes binding acceptance of the revised terms.
22.4. Severability. If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
22.5. Assignment Restrictions. Customer may not assign, transfer, or delegate its rights or obligations under this Agreement, in whole or in part, without the prior written consent of Lazostar LLC. Lazostar LLC may freely assign or transfer this Agreement, its licenses, or its rights hereunder to a parent entity, subsidiary, affiliate, or acquirer in connection with a merger, acquisition, corporate reorganization, or sale of assets.
22.6. Force Majeure. Neither Party shall be liable for any delay or failure to perform its obligations under this Agreement (excluding payment obligations) resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, power grid failures, public utility outages, cyberattacks (DDoS), or acts of government (“Force Majeure Event”).
